Terms of Service

01Agreement

These Terms of Service (“Terms”) are an agreement between ChartPad Ltd. (“ChartPad,” “we,” “us,” or “our”) and you, or the organisation you represent (“you”). They govern your use of our Power BI custom visuals (the “Visuals”), our website at chartpad.io, our documentation, and any related support (together, the “Services”).

By installing a Visual, purchasing a license, or using the Services, you accept these Terms. If you are acting for an organisation, you confirm that you are authorised to bind it. If you do not agree, do not use the Services.

02The Visuals

The Visuals are software components that run inside Microsoft Power BI. They are distributed through Microsoft AppSource and, for environments AppSource cannot cover, directly by us. Each Visual renders entirely within Power BI: it creates no accounts, sets no cookies, and sends no data to ChartPad.

An unlicensed Visual remains fully functional and displays a license notification. Where we enable a trial for a Visual, activating it removes the notification for 30 days so you can evaluate the Visual in a shared report.

03Licensing through AppSource

Licenses bought on Microsoft AppSource are sold, billed, invoiced, and renewed by Microsoft under Microsoft's commercial marketplace terms, on your existing Microsoft billing account. Pricing is per user, per Visual, and each user of a licensed Visual must have a license assigned. You manage seat counts and cancellation in the Microsoft 365 admin center. ChartPad never receives your payment details.

Microsoft's licensing cannot be applied on Power BI Report Server, Power BI Embedded, the SharePoint Power BI web part, Publish to web, or national and sovereign clouds. For those environments, and for unlimited-viewer or fully offline deployments, we offer direct licenses instead.

04Direct licenses

A direct license is a signed license key issued to a named licensee, covering either a single Visual or every Visual in the collection, for an annual or three-year term. The key is entered once in the Visual's format pane by a report editor and is not limited by number of viewers.

  • Scope: A key licenses the named licensee and its employees and contractors to use the covered Visuals in reports the licensee owns, in any Power BI environment. It may not be shared with, sold to, or used on behalf of any other organisation.
  • Term and renewal: A key is valid until its expiry date, plus a 30-day grace period. Subscriptions renew for a further term unless cancelled before renewal. On renewal, a refreshed key is issued for the new term and can be retrieved at any time from chartpad.io/license-key.
  • Verification: Keys are verified offline inside the Visual. Verification requires Power BI to be served over HTTPS; on a plain-HTTP Report Server a key cannot be validated and the license notification remains.
  • Delivery: Keys are shown on the checkout success page and emailed to the address given at checkout. You are responsible for keeping the key and the transaction reference secure.

05Payment, taxes, and refunds

Direct licenses are sold through Paddle.com, our merchant of record. Paddle handles payment processing, invoicing, applicable sales tax and VAT, and its checkout terms apply to the transaction. Prices are shown at checkout and may change for future terms; a price change never affects a term already paid for.

Any direct license charge, including a renewal charge, can be refunded in full within 14 days of the charge, for any reason. If a key cannot be issued or does not work as described, contact us and we will correct it or refund you. Refunds for AppSource purchases are governed by Microsoft's marketplace policies.

Nothing in this section limits any statutory refund or cancellation right you have under the consumer protection laws of your country of residence, and Paddle's refund terms apply alongside these Terms. Our Refund Policy sets out the full position, including how to request a refund.

06Intellectual property

The Visuals, the website, the documentation, and all related materials are owned by ChartPad Ltd. and protected by copyright and other intellectual property laws. A license grants you the right to use the Visuals as set out in these Terms; it does not transfer ownership. The ChartPad name and logo are our trademarks. Power BI is a trademark of Microsoft Corporation.

Reports, data, and content you create with the Visuals remain yours. We claim no rights in them and, because the Visuals send us nothing, we never have access to them.

07Restrictions

You agree not to:

  • Copy, modify, adapt, or create derivative works of the Visuals, other than as permitted by applicable law.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Visuals, or to circumvent, disable, or forge license verification.
  • Redistribute, sublicense, rent, lease, or resell the Visuals or a license key, or offer them as part of a competing product.
  • Remove or obscure any proprietary notices in the Visuals or the documentation.
  • Use the Services in breach of any applicable law or of Microsoft's terms for Power BI and AppSource.

08Updates and support

We may release updates to the Visuals from time to time. Updates distributed through AppSource are applied by Microsoft; for imported Visuals you are responsible for installing new versions. An update may add, change, or remove features. A license covers every version of the Visual released during its term.

Support is provided by email at hello@chartpad.io and through our documentation. We aim to respond promptly but do not guarantee a response time or a fix for every issue. Support is available in English.

09Privacy

Our Privacy Policy describes how we handle information collected through the website and our contact with you. Each Visual also has its own privacy statement, linked from its page and its AppSource listing, confirming that the Visual itself collects nothing.

10Disclaimer of warranties

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Visuals will be error-free, uninterrupted, or compatible with every future version of Power BI, or that they will meet your requirements.

11Limitation of liability

To the fullest extent permitted by law, ChartPad Ltd. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or in connection with the Services, even if advised of the possibility of such damages.

Our total liability for all claims relating to the Services is limited to the amount you paid us for the Services in the twelve months before the claim arose. If you paid nothing, our liability is limited to the extent permitted by law. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

12Termination

A license ends when its term expires without renewal, or earlier if you cancel it. We may terminate or suspend a license or your access to the Services if you materially breach these Terms and, where the breach can be remedied, fail to do so within 14 days of notice. On termination, you must stop using the affected Visuals and any license key issued to you. Sections 6, 7, 10, 11, and 14 survive termination.

13Changes to these Terms

We may update these Terms from time to time. We will post the new Terms on our website and update the date at the top. Material changes take effect for existing licenses at their next renewal; continued use of the Services after a change otherwise constitutes acceptance of the updated Terms.

14Governing law

These Terms are governed by the laws of England and Wales, and any dispute arising from them is subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you also keep any mandatory protections of the law of the country in which you live.
